American Water Works (AWK) — America's Largest Regulated Water Utility Is About to Get Bigger

American Water Works Company Inc. (NYSE: AWK) is already the largest publicly traded regulated water and wastewater utility in the United States — and right now it's in the middle of a transformational merger that will make it even bigger.

The Big Story: Merger with Essential Utilities (WTRG)

On October 27, 2025, AWK announced an all-stock “merger of equals” with Essential Utilities Inc. (NYSE: WTRG), a major water and gas utility in its own right. This is the single biggest thing happening at AWK right now:

  • Deal size: roughly $40 billion in combined equity value, or $63 billion including debt (enterprise value) — the two figures differ because one measures equity only, the other equity plus debt.
  • Exchange ratio: WTRG shareholders receive 0.305 AWK shares for every WTRG share held — roughly a 10% premium to the 60-day volume-weighted average price as of October 24, 2025.
  • Ownership split at close: AWK shareholders will own approximately 69%, WTRG shareholders approximately 31%, of the combined company.
  • Name and HQ: the combined entity retains the “American Water” name, headquartered in Camden, New Jersey.
  • Combined scale: 4.7 million water/wastewater customer connections plus 740,000 gas customer connections across 17 states — the largest regulated water/wastewater utility in the US.
  • Combined rate base: approximately $29.3 billion for the water/wastewater segment alone.
  • Approval status: shareholders of both companies approved the deal on February 11, 2026. Regulatory approvals already secured from Kentucky PSC (Apr 21, 2026), Ohio PUC (May 13, 2026), and Virginia SCC (2026). Still pending: remaining state approvals plus Hart-Scott-Rodino antitrust clearance.
  • Expected close: by end of Q1 2027.

Management has guided the merger to be EPS-accretive in year one post-close, and has reaffirmed its 7-9% long-term EPS/DPS growth target through and beyond the transaction.

Business Model

AWK operates as a regulated water and wastewater utility across 14+ US states (soon 17 once the WTRG merger closes). The model is capital-intensive but conceptually simple:

  1. The company invests heavily (capex) in infrastructure — underground pipes, treatment plants, wastewater systems.
  2. It then files rate cases with state utility commissions to recover that invested capital through approved rate increases.
  3. Because it operates as a licensed monopoly in its service territories, revenue is relatively predictable and stable — provided rate cases are decided favorably.

This means AWK's growth is driven not by “selling more product,” but by the size of its rate base (the pool of regulator-approved assets earning a return) and its track record of winning fair rate case outcomes.

Shariah Status: NON-COMPLIANT
