AvalonBay Communities (NYSE: AVB) is currently in the process of merging with Equity Residential (NYSE: EQR) in an all-stock merger of equals. Announced on 21 May 2026, the deal will combine two of America's largest publicly traded apartment REITs into a single company with more than 180,000 apartment homes and a pro-forma enterprise value of roughly $69 billion — the largest public apartment landlord in US history. Under the terms of the deal, every AVB share converts into 2.793 EQR shares at a fixed exchange ratio, with no collar and no adjustment for share-price movement before closing. The deal is expected to close in the second half of 2026, pending shareholder votes scheduled for 12 August 2026.
For investors, this means AVB today should be read less as a standalone growth REIT and more as a merger-conversion position: what you are effectively buying is a claim that converts into EQR shares once the deal closes, not a pure-play bet on AvalonBay's own operating trajectory.
Beyond the merger headline, AvalonBay's underlying business remains one of the highest-quality residential REIT portfolios in the US. As of 31 March 2026, the company owned interests in 319 apartment communities comprising 98,271 apartment homes across 11 states and Washington DC, with 25 communities under construction and a land bank supporting roughly 30 additional communities (about 9,866 homes).
The portfolio is concentrated in core coastal, high-barrier-to-entry markets — Boston, the New York/New Jersey metro, the Mid-Atlantic, Seattle, and Northern and Southern California — supplemented by expansion markets including Raleigh-Durham, Charlotte, Southeast Florida, Dallas-Austin, and Denver. This coastal-core-plus-Sunbelt-expansion strategy has historically given AVB a defensive base with additional growth optionality.
Benjamin Schall, AvalonBay's current President and CEO, is set to lead the combined company once the merger closes, while Equity Residential's CEO Mark Parrell will retire at closing. The combined company will operate from dual headquarters in Arlington, Virginia (AVB's current home) and Chicago, Illinois (EQR's current home), governed by a 14-trustee combined board.
