Company Profile: Charter Communications (CHTR)

Charter Communications is the second-largest cable and telecommunications company in the United States, operating under the Spectrum brand — providing residential and commercial internet, cable TV, mobile (Spectrum Mobile), and home phone service to tens of millions of American households.

Charter is currently in the middle of a major transformation, running TWO mega M&A transactions concurrently:

  • The Cox Communications merger ($34.5 billion) — announced May 2025, this is THE dominant story for CHTR right now. The FCC has already approved it (Feb 2026), and New York State has approved it too (March 2026). The last hurdle: a California Public Utilities Commission vote scheduled for August 13, 2026. Closing is expected mid-to-late August 2026 — THIS MONTH. Post-close, the combined entity (~36 million subscribers, ~70 million passings nationwide) will rename itself “Cox Communications” within a year, while the Spectrum brand remains for consumers.
  • The Liberty Broadband acquisition — a SEPARATE deal (do not confuse it with Cox). Charter agreed (Nov 2024) to acquire its own largest shareholder, Liberty Broadband, in an all-stock transaction. Both companies' shareholders approved the deal in Feb 2025, but closing isn't expected until June 30, 2027 — still roughly 10-11 months away as of August 2026.

On the core business side, Charter faces structural pressure: Spectrum Internet subscribers are shrinking (-172,000 in Q2 2026, worse than -120,000 in Q1 2026), driven by competition from fiber overbuilders and fixed wireless access (FWA) from T-Mobile/Verizon/AT&T. Spectrum Mobile, however, is growing fast (+368-370K lines/quarter, 12.1M+ total lines, ~17% YoY) and is being used as a bundling weapon to retain broadband customers.

CEO Chris Winfrey (since December 2022, succeeding long-time CEO Tom Rutledge) is leading the company through this critical phase — managing the Cox merger, the Liberty Broadband acquisition, AND a shrinking core business simultaneously.
